1. General Provisions & Contracting Party
These Terms of Service ("Terms") constitute a binding agreement between you ("Client", "You") and Legion Mind ("Legion Mind", "we", "us"), an engineering and technical consulting practice registered in India and providing commercial engineering solutions globally.
2. Scope of Services
Legion Mind provides professional B2B engineering services including:
- Cloud & Linux/Windows VPS architecture, provisioning, and maintenance.
- Server hardening, firewall rules, automated backup strategies, and security audits.
- Email authentication and deliverability engineering (SPF, DKIM, DMARC, BIMI, MX records).
- Full-stack web application engineering, performance tuning, and static site generation.
- Digital website templates and production-ready source code starter kits.
3. Client Responsibilities & Access Credentials
To fulfill infrastructure and email deliverability services, the Client agrees to provide timely access to relevant DNS management panels, server instances, or source repositories. The Client warrants that it holds valid authority to grant such access. We recommend temporary, least-privilege credentials or SSH key pairing, which will be deleted upon completion of work.
4. Fees, Invoicing & Payments
Custom engineering retainers and project sprints are invoiced in US Dollars ($ / USD) as outlined in individual Statements of Work (SOW). Standard payment terms are net 14 days from invoice issuance unless agreed otherwise in writing. Digital template purchases are charged immediately via secure electronic payment before source code delivery.
5. Intellectual Property
- Bespoke Work: Upon full and final settlement of all applicable fees, custom code written specifically for the Client under an SOW transfers to the Client, excluding pre-existing libraries, open-source dependencies, and internal scaffolding tools.
- Website Templates: Digital templates purchased via `/projects` remain intellectual property governed by our dedicated License Agreement. Purchasing grants a license to use and customize, not ownership of the underlying master template.
6. Warranties & Limitation of Liability
Services are provided using professional, industry-standard engineering practices with reasonable skill and care. However, Legion Mind cannot guarantee specific mailbox inbox placement rates from third-party email providers (e.g., Google, Microsoft) whose proprietary anti-spam algorithms fluctuate independently of valid DNS records.
To the maximum extent permitted under applicable law, Legion Mind shall not be liable for indirect, punitive, or consequential damages, including loss of business, data corruption caused by upstream cloud providers, or downtime on third-party VPS hosts. Our total aggregate liability shall not exceed the amounts paid by the Client for the specific service sprint giving rise to the claim.
7. Governing Law & Dispute Resolution
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. The competent courts in India shall have jurisdiction, without prejudice to either party's ability to pursue mutual dispute resolution or binding international commercial arbitration as mutually agreed in an applicable Statement of Work.
